These Terms of Use (“Terms” or “Agreement”) govern your access to and use of the websites, applications, quote forms, digital platforms, and related services operated by Yapacopia, Inc. (“Yapacopia,” “Company,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
- Our Services
Yapacopia operates a lead generation and referral platform that connects consumers seeking insurance products or related services (“Prospects”) with insurance companies, agencies, brokers, carriers, or other service providers (“Providers”).
The term “Services” includes:
- Websites
- Mobile applications
- Quote request forms
- Digital advertising platforms
- Email and SMS communications
- APIs, widgets, and related technology
IMPORTANT DISCLOSURES
Yapacopia:
- Is not an insurance company
- Does not issue policies
- Does not underwrite insurance
- Does not guarantee coverage approval
- Does not bind insurance coverage
- Does not negotiate claims
- Does not provide legal, tax, financial, or insurance advice
We act solely as an intermediary marketing and referral platform.
Any insurance product, quote, policy, or related transaction is solely between you and the applicable Provider.
- Lead Generation Services
When a Prospect submits information through our Services:
- We may collect consumer information (“Lead Data”)
- We may transmit that Lead Data to one or more Providers
- Providers may contact the Prospect directly
We reserve sole discretion regarding:
- Which Providers receive Leads
- The timing of Lead delivery
- Whether Leads are sold exclusively or non-exclusively
We do not guarantee:
- The number of quotes received
- Quote pricing
- Policy issuance
- Provider responsiveness
- Eligibility & Authority
By using the Services, you represent and warrant that:
- You are at least 18 years old
- You reside in a jurisdiction where the Services may legally be offered
- You have authority to provide submitted information
- All information submitted is truthful and accurate
If acting on behalf of a company or organization, you represent that you have authority to bind that entity.
- Consent to Communications
By submitting your information through the Services, you expressly consent to receive communications from Yapacopia, Providers, marketing partners, affiliates, and service providers, including through:
- Phone calls
- SMS/text messages
- Emails
- Artificial or prerecorded voice messages
- Automatic telephone dialing systems (“autodialers”)
These communications may concern:
- Insurance quotes
- Marketing offers
- Service updates
- Related financial or insurance products
TCPA DISCLOSURE
You understand and agree that:
- Consent is not a condition of purchase
- You may receive calls or messages even if your number appears on:
- The National Do Not Call Registry
- State Do Not Call lists
- Internal company suppression lists
Message and data rates may apply.
You may revoke consent by:
- Replying STOP to SMS messages
- Following unsubscribe instructions
- Contacting us directly
- Information Collection & Privacy
Your use of the Services is subject to our Privacy Policy.
By using the Services, you consent to:
- Collection of personal information
- Sharing of information with Providers and partners
- Use of cookies, pixels, and tracking technologies
- Marketing communications and lead processing activities
- Provider Obligations
Providers using the Services agree:
- To use Lead Data solely for lawful insurance marketing and quoting purposes
- To comply with all applicable laws, including:
- TCPA
- CAN-SPAM
- CCPA/CPRA
- Insurance regulations
- Not to misuse or resell Lead Data except as authorized
We reserve the right to:
- Suspend or terminate Provider access
- Reassign Leads
- Audit Provider compliance
- Contact Prospects regarding reassignment
Providers remain responsible for any fees or donation obligations related to accepted Leads.
- Fees & Payment Terms
Provider fees may include commissions, referral fees, subscription fees, or percentage-based arrangements.
Unless otherwise agreed in writing, current fee structures may include:
Property & Casualty Insurance
- 4% of premium for new policies
- 3% of premium for renewals
Health, Group & Individual Policies
- 30% of first-year commission
- 25% of renewal commissions
Life Insurance
- 25% of first-year commission
Certain fees may include charitable contributions facilitated through Yapacopia or affiliated nonprofit initiatives.
All payment obligations survive termination for previously accepted Leads.
- Term & Termination
These Terms remain effective until terminated.
We may:
- Suspend access
- Restrict Services
- Terminate accounts
- Refuse service
at any time, with or without notice, for any lawful reason.
Providers may terminate participation upon written notice, subject to outstanding obligations.
- User Responsibilities
You agree not to:
- Submit false or misleading information
- Violate laws or regulations
- Interfere with Service security
- Use bots, scrapers, or automated systems
- Reverse engineer the platform
- Upload malicious code
- Infringe intellectual property rights
You are responsible for all activity conducted under your account or using your information.
- Third-Party Services & Providers
The Services may contain:
- Third-party links
- Embedded content
- Advertising
- Social media integrations
- Analytics technologies
We do not control third-party services and are not responsible for:
- Their conduct
- Their products
- Their privacy practices
- Their communications
Your interactions with third parties are solely between you and those parties.
- User Generated Content
If you submit reviews, comments, forum posts, or other content (“User Content”):
- You retain ownership
- You grant Yapacopia a worldwide, royalty-free, perpetual license to use, reproduce, display, distribute, and modify such content
You represent that your User Content:
- Is lawful
- Does not infringe third-party rights
- Is not defamatory or misleading
We may remove User Content at our discretion.
- Intellectual Property
All platform content, including:
- Logos
- Trademarks
- Designs
- Software
- Text
- Graphics
- Databases
are owned by Yapacopia or its licensors and protected by law.
No license is granted except for limited personal use of the Services.
- Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- TITLE
- SECURITY
- ACCURACY
- RELIABILITY
WE DO NOT GUARANTEE:
- CONTINUOUS OPERATION
- ERROR-FREE FUNCTIONALITY
- SECURITY AGAINST ALL THREATS
- PROVIDER PERFORMANCE
- COVERAGE AVAILABILITY
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAPACOPIA SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES
- CONSEQUENTIAL DAMAGES
- INCIDENTAL DAMAGES
- SPECIAL DAMAGES
- PUNITIVE DAMAGES
- LOST PROFITS
- LOSS OF DATA
- BUSINESS INTERRUPTION
arising out of:
- Use of the Services
- Provider interactions
- Insurance transactions
- Communications
- Data breaches
- Third-party conduct
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- $100 USD; or
- The amount paid to us by you during the prior 30 days
- Release
If you have a dispute with any Provider, Prospect, advertiser, or third party, you release Yapacopia from any claims, liabilities, damages, and demands arising from such disputes.
California Residents
You waive California Civil Code Section 1542, which states:
“A general release does not extend to claims which the creditor does not know or suspect to exist…”
Residents of other states waive similar protections to the maximum extent permitted by law.
- Indemnification
You agree to defend, indemnify, and hold harmless Yapacopia and its affiliates, officers, directors, employees, contractors, and partners from any claims, damages, liabilities, costs, and expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of law
- Your infringement of third-party rights
including attorneys’ fees and litigation costs.
- Arbitration Agreement & Class Action Waiver
PLEASE READ CAREFULLY
Any dispute arising from these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”).
Arbitration Terms
- Individual claims only
- No class actions
- No jury trials
- Venue in California unless prohibited by law
CLASS ACTION WAIVER
YOU WAIVE ANY RIGHT TO:
- PARTICIPATE IN A CLASS ACTION
- ACT AS A PRIVATE ATTORNEY GENERAL
- PARTICIPATE IN MASS ARBITRATION
- Injunctive Relief
You acknowledge that unauthorized use of the Services may cause irreparable harm.
We may seek:
- Injunctive relief
- Equitable remedies
- Specific performance
without posting bond.
- Governing Law
These Terms are governed by California law without regard to conflict-of-law rules.
Subject to the arbitration provision, venue shall lie in California courts.
- Electronic Communications
You consent to receive notices electronically, including:
- Agreements
- Disclosures
- Notices
- Policy updates
Electronic records satisfy legal writing requirements.
- International Users
The Services are operated in the United States.
If you access the Services internationally, you consent to transfer of information to the United States.
- Modifications to the Services or Terms
We may:
- Modify the Services
- Suspend functionality
- Change these Terms
at any time without liability.
Continued use after updates constitutes acceptance.
- Severability
If any provision is deemed unenforceable, the remaining provisions remain enforceable.
- Entire Agreement
These Terms and the Privacy Policy constitute the complete agreement between you and Yapacopia regarding the Services.
